These terms and conditions outline the rules and regulations for the use of our professional advertising services.

1. Service Agreement

By engaging our advertising services, you agree to be bound by these terms and conditions. Our services include but are not limited to Facebook Ads, Google Ads, Instagram Ads, and TikTok Ads management.

2. Service Scope

  • Campaign strategy development and implementation
  • Ad creative development and optimization
  • Audience targeting and research
  • Performance monitoring and reporting
  • Budget management and optimization
  • Regular communication and consultation

3. Client Responsibilities

The client agrees to:

  • Provide accurate and complete information about their business
  • Grant necessary access to advertising accounts and platforms
  • Provide timely feedback and approvals
  • Ensure compliance with platform policies
  • Pay invoices according to agreed terms

4. Payment Terms

  • Management fees are due monthly in advance
  • Ad spend is billed directly by the advertising platforms
  • Late payments may result in service suspension
  • Refunds are handled on a case-by-case basis

5. Performance and Results

While we employ best practices and proven strategies, we cannot guarantee specific results. Advertising performance depends on various factors including market conditions, competition, product/service quality, and external economic factors.

6. Confidentiality

We maintain strict confidentiality regarding all client information, strategies, and data. Client information will not be shared with third parties without explicit consent.

7. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, all work will cease, and access to advertising accounts will be transferred back to the client.

8. Limitation of Liability

Our liability is limited to the amount of management fees paid in the previous month. We are not responsible for ad spend, platform suspensions, or policy violations unless directly caused by our negligence.

9. Platform Compliance

All campaigns must comply with the respective platform policies (Facebook, Google, Instagram, TikTok). Clients are responsible for ensuring their products/services comply with all applicable laws and regulations.

10. Intellectual Property

All ad creatives, strategies, and campaign structures developed remain the property of the client. Our methodologies and proprietary processes remain our intellectual property.

11. Force Majeure

We are not liable for delays or failures in performance resulting from acts beyond our reasonable control, including platform outages, policy changes, or external circumstances.

12. Governing Law

These terms are governed by the laws of the jurisdiction in which our services are provided. Any disputes will be resolved through binding arbitration.

13. Changes to Terms

We reserve the right to modify these terms at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of the updated terms.
